General Terms and Conditions
Version date: 13 October 2026. Time limits, quantities and amounts in this text are inserted from the configuration and the price list; a dash means that the value does not currently exist.
§ 1 Scope
These General Terms and Conditions apply to all contracts for the use of the software-as-a-service application todo.monster (hereinafter the “Service”) between Coozinha UG (haftungsbeschränkt), Berlin (hereinafter the “Provider”; details in the legal notice (Impressum)) and the Customer.
The Service is directed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law and special funds under public law. Contracts with consumers (§ 13 BGB) are not concluded; this also applies to the free plan. Consequently, there is no statutory right of withdrawal.
Deviating terms and conditions of the Customer shall not apply unless the Provider expressly agrees to their application in text form. Individually agreed arrangements take precedence over these Terms. For participants in the pilot programme, the Provider's pilot agreement applies in addition; within its scope it takes precedence over these Terms.
§ 2 Subject Matter of the Contract and Scope of Services
The Provider makes the Service available to the Customer for use via the Internet in the plan tier booked in each case. The range of functions follows from the service description of the respective plan on the website at the time of the order.
What is owed is functionality that corresponds to the service description of the booked plan and the state of the art at the time the contract is concluded. Uninterrupted, complete freedom from errors of the software is not owed; the rights in respect of defects under § 19 remain unaffected.
The Provider continuously develops the Service further and may change or add functions, provided that the core functions of the booked plan are retained and the change is reasonable for the Customer. Functions that are marked in the service description as “included during the introductory phase” may be assigned by the Provider to a higher plan tier, subject to the notice period under § 11 (6).
§ 3 Plans, Members and Guests
The Service is offered in the plan tiers “Free”, “Pro” and “Company”. The respective range of functions, included quantities (such as the number of own projects, the AI conversions per month and the storage space) and usage limits follow from the service description on the website. “Pro” is a plan for a single user, even if a company pays for it. “Company” is the plan for a company and may also be used by a single person.
In the “Company” plan, the Customer books the plan for its company and may invite further users as members. Members require their own user account, which may also be a free one, and are subject to these Terms. The Customer is responsible for the use of the Company functions by its members. When the Company plan ends, the members' access to the Company functions ceases; the members' own user accounts remain unaffected.
Users with their own account may be invited into individual projects as guests without being members of the company. Guests do not occupy a seat under § 9 and are not charged; they do not receive company-wide access. Which contents of a project a guest sees depends on the guest's own plan and the role assigned to them. Files uploaded by a guest count towards the storage space of the project owner.
Contents in Company projects and Company mailboxes are attributed to the Customer (the company); they remain with the Customer even after a membership or guest access has ended. The private user account of a member or guest and their personal contents outside the company remain unaffected and belong to the respective user.
§ 4 Registration and Conclusion of Contract
Use of the Service requires a user account. By registering, the Customer declares that it is creating the user account as an entrepreneur within the meaning of § 14 BGB or on behalf of such an entrepreneur and that it is at least 18 years of age and has full legal capacity. The Customer warrants that the information provided during registration and ordering is truthful and keeps it up to date. The contract for the free plan is concluded upon completion of registration; the contract for a paid plan is concluded upon completion of the ordering process, where the Customer confirms its status as an entrepreneur once more.
Only one free user account is permitted per person. The user account is not transferable and may not be shared by several persons. The Customer keeps its access credentials secret and informs the Provider without undue delay if misuse is suspected.
§ 5 Free Plan
The “Free” plan is provided free of charge. In this respect there is no entitlement to a particular availability or an unchanged range of functions; the Provider may change the range of functions of the free plan with reasonable notice.
Free accounts without an ongoing paid contract that have not been used for more than twelve months may be deleted by the Provider. The Provider announces the deletion after eleven months without use by e-mail to the address on file; logging in or cancelling the announced deletion before the period expires averts the deletion.
§ 6 Trial Period and Free Month
For the “Pro” plan, the Provider may offer a free trial period of 14 days. It does not require payment details, is not extended and does not automatically convert into a paid contract; it ends upon expiry of the period without any costs arising, and the account is switched to the free plan. The trial period is granted once per user and per billing account; anyone who has already had a paid contract or a trial period does not receive another one. Mailbox and AI functions are available during the trial period only after confirmation of the e-mail address; paid add-on products cannot be booked during the trial period.
There is no trial period for the “Company” plan. Instead, the Provider may grant new customers the first full billing month, including the preceding partial month, free of charge (“Free Month”). The Free Month is shown as a discount on the invoice; if it covers the invoice amount in full, an invoice for zero euros is issued. A new customer is anyone who has not yet received a paid invoice for the company concerned. The Free Month is granted once per company, is not paid out and is not granted when switching from “Pro” to “Company”.
§ 7 Term, Termination and Change of Plan
Paid plans are billed in advance monthly or annually, depending on the selected billing interval, and renew automatically for the same period in each case unless they are terminated with effect from the end of the current billing period. Termination is possible at any time in the user account and takes effect at the end of the current period; until then, the services of the plan remain usable. There is no pro rata refund for the current period; § 8 remains unaffected. Until the termination takes effect, the Customer may withdraw the termination in the user account, provided that a valid payment method is on file. Before an annual contract renews, the Provider sends a reminder in text form at least 30 days in advance. The right to extraordinary termination for good cause remains unaffected.
An annual contract comprises twelve calendar months from the first full calendar month; a preceding partial month is charged pro rata. Switching from monthly to annual billing is possible at any time with effect from the next start of a month; switching from annual to monthly billing is possible only at the end of the contract year.
After the end of the paid billing period, the account is switched to the free plan. Stored contents are retained; functions reserved for the paid plan (such as the e-mail connection, recurring tasks, the calendar with write access or advanced reports) are then no longer available. Holdings that exceed the limits of the free plan (such as more own projects or more storage space) remain stored and viewable; new ones can only be created again once the limit is complied with (§ 16). An upgrade to a higher plan is possible at any time; when switching from “Pro” to “Company”, the remaining value of the paid Pro period is credited against the first Company invoice. For companies, § 20 (4) applies in addition when the Company plan ends.
§ 8 Money-Back Guarantee
Within 14 days from the start of the contract, the Customer may end a contract for the “Company” plan in the user account without giving reasons and demand a refund of the fees paid for it. In this case, the contract ends immediately. The base price of the plan and the billed seats, including those added subsequently, are refunded; for an annual contract, the full annual amount; separately booked add-on products (§ 10) are not refunded. Services already used are not set off. The guarantee is granted once per company; a renewed booking by the same company does not bring it with it again. Stored contents remain readable and exportable in accordance with § 20.
§ 9 Seats, Company-Funded Pro Entitlements and Calendar-Month Billing
Paid plans are billed by calendar month. If a paid plan starts within a calendar month, the first period is charged pro rata according to the remaining calendar days; thereafter, billing takes place in advance for full calendar months or contract years respectively.
The “Company” plan includes 3 seats; the owner of the company occupies one of them. The quota set by the Customer costs nothing in itself; each seat occupied beyond the included seats is charged from the day it is occupied, pro rata for the current period. Once a seat has been occupied, it remains charged until the end of the paid period, even if the member is removed or the seat is parked; no credit note arises, and the seat may be reoccupied. A pending invitation reserves a seat but does not trigger a charge. A seat is not tied to a person: if it is reoccupied within its paid period, it is not charged again.
Members with an occupied seat receive the Pro functions for their user account for as long as the seat is occupied and funded (“Company-funded Pro entitlements”); these entitlements apply to the user account as a whole, regardless of whether they are funded privately or by a company.
If a member is removed from a company or their seat is parked, access to Company projects, Company tasks, company calendars and company mailboxes ends immediately. Unpaid Company-funded Pro entitlements are not extended for new billing periods (§ 11 (3) and (4)).
§ 10 Add-on Products (Add-ons)
For the “Pro” and “Company” plans, the Provider may offer add-on products, such as additional AI conversions (“KI-Boost”) or additional storage space (“Speicher+”), insofar as they are designated as bookable in the service description. Add-on products are billed monthly even if the main plan is billed annually, may be booked several times and may each be terminated with effect from the end of the calendar month; the booked quota remains available until then. A KI-Boost applies to exactly one user, Speicher+ to the storage pool of the payer. Add-on products end at the latest together with the main plan and are excluded from vouchers and discounts under § 12.
§ 11 Prices, Payment and Default in Payment
The prices shown at the time of the order apply, plus statutory value added tax. All prices are net prices for business customers. Payment is made via the payment service provider Mollie using the payment methods offered in the ordering process (currently credit card; further payment methods insofar as the Provider offers them) in advance for the respective billing period. If the contract starts within a calendar month, the partial month is charged pro rata according to the remaining calendar days.
The Customer receives an invoice in electronic form for each billing period; it is available for retrieval in the user account and is additionally delivered by e-mail. Discounts (such as Free Month, introductory price, voucher or referral bonus) are shown as a discount line on the invoice; value added tax is calculated on the reduced amount.
If a payment fails, the Provider informs the Customer in text form and may attempt collection again. If payment remains outstanding after a grace period of 3 days has expired, the Provider may restrict access to the paid functions of the contract to read-only access: existing contents remain visible and exportable, new entries are temporarily not possible; invoices, payment method, renewed payment, export and termination remain accessible. Once the outstanding claim has been settled, the restriction is lifted without undue delay and without any further action by the Customer. No reminder fees are charged.
If payment remains outstanding for 90 days after the restriction begins, the paid contract ends and the account is switched to the free plan; dependent seats and add-on products end with it. The Customer's contents are not deleted as a result; § 20 applies. The assertion of the outstanding claim and of further claims arising from default remains unaffected. If the Provider incurs costs from its bank or its payment service provider due to a chargeback for which the Customer is responsible, the Provider may pass them on in the amount evidenced; no flat-rate fee is charged.
Time-limited promotional prices, in particular an introductory price, apply for the number of billing periods stated at the time of booking and are shown as a discount on the list price; thereafter, the list price shown at that time applies. The end of a time-limited promotion is not a price change within the meaning of paragraph 6.
The Provider announces price changes for ongoing contracts at least 6 weeks in advance in text form; they apply at the earliest from the next billing period and not within an annual period that has already been paid. The Customer may terminate with effect from the end of the current period until the change takes effect.
§ 12 Vouchers and Referral Bonus
Vouchers of the Provider are redeemed in the ordering process or in the user account and act as a discount on future invoices of the billing account, at the earliest from the next invoice not yet issued. A voucher applies to the plan, period and group of users stated in its terms (for example, new customers only) and only once per billing account, unless the terms state otherwise. A discount is never paid out, does not bear interest and is not transferred to another billing account; unused discounts expire on their expiry date, at the latest at the end of the contract, and do not extend any notice period. Several discounts (voucher, promotional price, referral bonus) cannot be combined on the same invoice; the one more favourable to the Customer applies, and any remainder is carried forward to a later invoice. Add-on products are excluded from discounts.
Customers with a paid contract may receive a personal referral link. If a new customer registers via this link or enters the code within 14 days of registration, both parties receive as a referral bonus a discount equal to one monthly price of the “Pro” plan on future invoices: the referred customer on the first invoice of their paid contract, the referrer as soon as this invoice has been paid. The bonus is a price discount, not a payout. Excluded are self-referral (the same billing account, the same company, the same VAT identification number or the same payment method) and the referral of members of the same company. A maximum of twelve bonuses per calendar year are granted per referrer. The referred customer's discount expires if no paid contract comes about within 90 days; an unused remainder expires twelve months after it arose. If the referred customer makes use of the money-back guarantee within 60 days or their payment is charged back, the referrer's bonus lapses.
§ 13 Rights of Use
For the term of the contract, the Customer receives the simple, non-exclusive and non-transferable right to use the Service to the extent of the booked plan. All further rights in the software and its components remain with the Provider; sublicensing and passing on are not permitted. In the “Company” plan, the right of use includes use by the members and guests invited by the Customer within the scope of the service description.
Decompilation, reverse engineering and the extraction of components of the software are not permitted unless expressly permitted by law (§§ 69d, 69e UrhG (German Copyright Act)).
In the contents posted by the Customer, the Customer grants the Provider the simple rights of use, limited to the term of the contract, that are technically necessary for operating the Service (in particular storage, reproduction, data backup, processing by the AI function at the Customer's instruction and display to authorised users). The Provider does not acquire any further rights in the Customer's contents.
§ 14 Obligations of the Customer
The Customer does not store or distribute via the Service any unlawful contents or any contents that infringe the rights of third parties. The Customer refrains from all actions that endanger the operation or the security of the Service (such as introducing malware, overloading or unauthorised access attempts) and ensures that the users it has invited also comply with these obligations.
The Customer indemnifies the Provider against claims of third parties that are based on a culpable breach of these obligations by the Customer or by the users it has invited. In the event of serious breaches, or breaches continued despite a warning, the Provider may temporarily suspend the account or terminate the contract for good cause.
Indications of unlawful contents in the Service may be reported to the Provider via the contact channels stated in the legal notice (Impressum). The Provider examines reported contents and removes or blocks them insofar as they are unlawful; statutory reporting and procedural obligations (including under Regulation (EU) 2022/2065, the “Digital Services Act”) remain unaffected.
§ 15 E-mail Mailboxes and AI Function
In the “Pro” and “Company” plans, external e-mail mailboxes of the Customer (IMAP/SMTP) may be connected to the Service. The Customer warrants that it is authorised to connect and use the respective mailboxes. The Provider is not the provider of the mailboxes; their availability and terms of use are governed by the respective e-mail provider.
Synchronised e-mails are stored in the Service. If the plan that includes the e-mail connection ends, synchronisation ends; data already synchronised remain stored in accordance with § 20. In the “Company” plan, the Customer manages the company-related mailboxes and their assignment to members on its own responsibility.
The Service contains an AI function that, at the user's instruction, generates a task proposal from a single e-mail. It is executed only if the user starts it for the respective message; the Service does not search mailboxes on its own. The proposal is reviewed by the user before it is saved; the Provider gives no warranty as to its accuracy, completeness or the recognition of dates and deadlines. The number of AI conversions is limited per user and calendar month (15 in the “Free” plan, 500 in the “Pro” and “Company” plans, plus booked add-on products); when the limit is reached, the function is not executed until the turn of the month, while manual conversion remains possible. The model runs on infrastructure of the Provider's hosting provider in Germany; details are governed by the privacy policy and the data processing agreement. The user can switch off the AI function in the settings.
§ 16 Storage Space and Quotas
The storage space for file attachments and synchronised e-mails as well as the size of individual files are limited per plan; the limits are set out in the service description (currently 250 MB in the “Free” plan, 10 GB in the “Pro” plan and 20 GB per occupied seat in the “Company” plan). In the “Company” plan, the seats form a shared storage pool of the company.
When 80 % of the limit is reached, the Service draws attention to this. After the limit is exceeded, a grace period of seven days applies; thereafter, new uploads and the synchronisation of new e-mails are paused until usage is below the limit again. Contents are not deleted as a result, and no invoice item arises. The Customer can view usage in the user account and remove contents itself.
§ 17 Availability and Maintenance
The Provider endeavours to achieve availability of the Service of 98 % as an annual average. Excluded from this are announced maintenance windows, which are scheduled outside usual business hours where possible, as well as disruptions beyond the Provider's sphere of influence (such as failures of third-party network infrastructure, attacks on the infrastructure or force majeure). Measurement or proof of availability is not owed.
§ 18 Support
The Provider provides support for questions regarding the use of the Service by e-mail and via the reporting function in the application. Fixed response or resolution times are not owed unless individually agreed. Support services may be structured differently per plan tier; details are governed by the service description.
§ 19 Rights in Respect of Defects
The provisions of tenancy law apply to defects of the Service. The Provider's strict liability for defects already present at the time the contract was concluded (§ 536a (1) BGB) is excluded. The Customer reports defects without undue delay and supports the Provider to a reasonable extent in narrowing them down. Defects that are based on improper use, unmet system requirements or interventions by the Customer are excluded from the rights in respect of defects.
§ 20 Data Backup, Data Export, End of Contract and Deletion
The Provider backs up the systems regularly. Irrespective of this, it is incumbent on the Customer to export data important to it, to a reasonable extent, via the functions provided in the Service. The data export in the user account delivers the Customer's own authorised working data (projects, tasks, comments, time entries, attachments) as a ZIP archive in machine-readable formats; the company export is available to the owner of the company. Not included in the export are, in particular, e-mails and calendars, invoices and receipts, and the profiles of other persons; the export shows the scope included and its exclusions.
Projects, tasks and comparable contents deleted by the Customer are permanently removed after a technical period. Restoration of deleted contents by the Provider is not owed.
If a paid plan of an individual user ends, the user account continues in the free plan with all contents (§ 7 (3)). The user account and its contents are deleted only at the user's request. The request terminates an ongoing paid contract with effect from the end of the paid period; the account is suspended on the day after the end of the contract, or immediately if there is no contract, and is permanently deleted no earlier than 14 days after the request. Until deletion, the user may withdraw the request. Details are governed by the privacy policy.
For a company, the contract ends upon termination or other ending of the “Company” plan without a seamless transition into another Company contract, or upon dissolution of the company (hereinafter “End of Contract”). After the End of Contract, the company's data remain readable and exportable for the owner of the company for 30 days. 60 days after the End of Contract, the Provider deletes the company's data, including the data in the recycle bin, unless a statutory retention obligation prevents this; data in backups are overwritten within a further 30 days. If the Customer requests immediate deletion in text form before the period expires, the Provider deletes without undue delay. The personal user accounts of the members and guests remain unaffected by the End of Contract. Invoices and receipts remain retrievable in the user account. For personal data, the data processing agreement (§ 21) applies in addition.
§ 21 Data Protection and Data Processing on Behalf
The Provider processes personal data in accordance with its privacy policy; hosting takes place in Germany. If the Customer processes personal data of third parties via the Service, the data processing agreement under Art. 28 GDPR (available on the “ADV” page), to which the Customer agrees upon registration, applies in addition. Payment processing is carried out by Mollie B.V., Amsterdam, as an independent controller.
The Provider may use anonymised and aggregated usage data that no longer have any personal reference for the improvement and further development of the Service.
§ 22 Liability
The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act (Produkthaftungsgesetz). In the case of simple negligence, the Provider is liable only for damage arising from the breach of essential contractual obligations, limited to the damage typically foreseeable under the contract.
For loss of data, the Provider is liable within the scope of the preceding paragraph only up to the amount of the effort that would be required for restoration with proper data backup under § 20. For the free plan and for free trial periods, the Provider is liable only for intent and gross negligence. Liability under Art. 82 GDPR remains unaffected.
§ 23 Amendments to these Terms
The Provider may amend these Terms with effect for the future insofar as this is necessary due to changed legal or technical conditions or a further development of the Service and does not unreasonably disadvantage the Customer. Amendments are announced in text form at least six weeks before they take effect; the announcement draws attention to the right to object and to the consequences of silence. If the Customer objects, either party may terminate the contract with effect from the date on which the amendment takes effect. Each version of these Terms bears a version identifier; the version confirmed by the Customer is logged.
§ 24 Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the Customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Berlin.
The contract language is German. The German version of these Terms is authoritative; translations serve information purposes only.
The Provider may transfer the rights and obligations under this contract, with reasonable advance notice in text form, to an affiliated company or a legal successor; in this case, the Customer has a special right of termination with effect from the date of the transfer.
Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
